Master Investor, its staff, and Master Investor Limited (the “Company) do not accept any liability for any loss suffered by any reader or user of our website as a result on any investment decision.

General Terms and Conditions of Website Use

These General Terms and Conditions, together with the documents referred to below (the “Agreement”), tell you the terms and conditions on which you may make use of masterinvestor.co.uk (the “Website”). If you do not agree to the terms and conditions of this Agreement you must not use the Website. The provisions of this Agreement do not affect your statutory rights as a consumer.

The Website is operated by Master Investor Limited. This company is registered in England and Wales under company number 08790989 and with their registered offices and trading address at Unit 2, The IO Centre, Salbrook Industrial Estate, Salbrook Road, Salfords, Redhill, RH1 5GJ.

Our preferred means of communication is by email. Should you wish to email us, you can do so by using our contact form. For all postal communications with us kindly address any correspondence to our trading address as stated above.

Registration and Access to the Websites

We permit you to access the Website on a temporary basis but we reserve the right to withdraw or amend the services and information available on the Website (collectively the “Services”) and/or cancel any subscription without notice. The final decision rests with the Company.

Access to certain services is free. We may also offer premium services (at our sole discretion) for which a payment will be required. We will notify you if you attempt to access services that are not free and offer, at our discretion, the opportunity to subscribe for such services.

Information about you and your visits to the Websites

We process information about you in accordance with our Privacy Policy. You consent to such processing and you confirm that all data provided by you is accurate.

Private Investor (non-professional)

You agree that in entering into this Agreement you will at all times be acting as a private investor (non-professional) and not in the course of any employment, trade or profession which you may carry on.

For regulatory purposes, you are a private investor if you meet all of the following criteria for the entire term of your subscription.

• You are subscribing to the service in a personal capacity.
• You are not currently registered or qualified as a professional securities trader or investment adviser with any national or state exchange, regulatory authority, professional association or recognised professional body.
• You do not currently act in any capacity as an investment advisor, whether or not you have at some time been qualified to do so.
• You use the service solely in relation to the management of your personal funds and not as a trader or an advisor to the public or to the investment of corporate funds.
• You do not distribute, republish or otherwise provide any data from the service to any third party in any manner.
• The data change is designed to cover individuals and will be maintained in the customer’s name and not in the company name – the exception to this would be a share club operating on a non-professional basis.

You are not a private investor if you do not meet any one of the criteria outlined above.

Rights in this Website

We own or are the authorised licensee of the copyrights and other intellectual property rights in the Website. The Website is protected by copyright laws and treaties around the world.

The Website may not be reproduced, copied, downloaded, used, linked to, or exploited in any way except as specifically provided and permitted by this Agreement or as expressly agreed in writing by us.

You may link to the pages of the Website, provided you do so in a way that is fair and legal and which does not damage our reputation or take advantage of it. In particular, you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. The Website must not be framed on any other website, nor should you establish a link to any part of the Website other than the home page. We reserve the right to withdraw linking permission without notice.

Liability & Disclaimer

You warrant and undertake not to use the Website in connection with any unlawful or illegal purpose, or so as to bring the Company and their businesses, products or services into disrepute. You also warrant not to use the site with any automated page retrieval tool.

You agree to indemnify us against any and all claims, losses, liabilities, damages and expenses (including legal fees) arising out of your misuse of the Website.

We may terminate this Agreement:

• immediately, upon notice in writing, in the event that you are in breach of this Agreement; or
• upon not less than one month’s notice in writing at any time.

The decision by either party to terminate this Agreement shall not limit any other rights or remedies it may have, or shall not affect any accrued rights or obligations arising before the date of termination.

Upon termination of this Agreement for any reason (including termination of any free trial), you shall immediately discontinue use of the Website. The restrictions set out in this Agreement shall survive the termination of this Agreement for any reason.

Governing Law

This Agreement shall be construed in accordance with and governed by English law and the parties shall submit to the exclusive jurisdiction of the English courts.

User Content

Users of our Website and Facebook page (facebook.com/masterinvestor) have the opportunity to post certain content, such as comments (“User Comments”). User Comments do not necessarily reflect the views of the Company, and the Company does not guarantee the accuracy, truthfulness or reliability of any User Comment, nor endorse any opinions expressed in any User Comment. The Company assumes no responsibility or liability for or in connection with any User Comment. You are solely responsible for any User Content you post on the Website, and once posted or transmitted, cannot always be edited or withdrawn. All User Comments must comply with the Company’s Content Submission Policy below.

Content Submission Policy

The Company encourages User Comments on the Website and Facebook page. User Comments are subject to the following rules: Stay on topic and be respectful of others. Never submit anything unlawful, threatening, abusive, harassing, obscene, defamatory, any material that would violate the law or the rights of others, or any material that you know or think might be false, inaccurate or misleading. Please do not post “ad hominem” or personal attacks against other users or the Company’s employees. Although you are welcome to reference and link to other blogs and web sites in your comment, commercial solicitations or advertising for other personal or commercial blogs and websites are not permitted. Repeatedly making the same post in multiple places is not allowed, and links to obscene or offensive sites are strictly prohibited. When in doubt, remember, the Website and our Facebook page are public forums. Use the same judgment and care you would when standing in front of an audience of thousands.

By submitting any User Content, you represent and warrant that:

• you are the sole author and owner of the intellectual property rights thereto;
• all “moral rights” that you may have in such content have been voluntarily waived by you;
• all content that you post is accurate;
• you are at least 13 years old;

You further agree and warrant that you shall not submit any User Content:

• that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
• for which you were compensated or granted any consideration by any third party;
• that includes any information that references other websites, addresses, email addresses, contact information or phone numbers;
• that contains any computer viruses, worms or other potentially damaging computer programs or files;
• that advertises any product or service other than Master Investor without our prior written consent.

The Company may, but has not obligation to, monitor and/or moderate User Content. All User Content that you submit may be used in the Company’s sole discretion. The Company reserves the right to change, condense or delete any User Content that in the Company’s sole opinion violates this Comment Submission Policy, the rights of others or any applicable law, or is in any way harmful, objectionable or otherwise inappropriate. The Company also has the right (but not the obligation) to block a user’s right to post User Comments to the Website or Facebook page.

By submitting a User Comment, you grant the Company a perpetual, irrevocable, royalty-free, transferable right (but not the obligation) and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

None of the User Content that you submit shall be subject to any obligation of confidence on the part of the Company, its agents, subsidiaries, affiliates, partners or third party service providers and their respective directors, officers and employees.
